Terms of Service

These Terms of Service ("Terms") govern your access to and use of HireSwiftlee.com and any services HireSwiftlee, LLC ("HireSwiftlee," "we," "us") provides through it. By signing up for an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Who can use HireSwiftlee

You must be at least 18 years old and have the legal capacity to enter into a contract. By signing up you represent and warrant that you meet these requirements.

HireSwiftlee operates three user roles:

  • Contractor: an individual offering services. Must complete tax onboarding (W-8BEN for non-US persons, W-9 for US persons) and add a verified payout method (Wise) before receiving payment.
  • Client: a business or individual posting roles and engaging contractors. Must add a valid payment method (via Stripe) before paying invoices.
  • Recruiter: a sourcing partner who refers contractors via a unique referral link. Receives placement bonuses and ongoing trail commissions on contractors they bring in.

2. The service

HireSwiftlee provides a marketplace connecting clients with contractors and recruiters. We are not a party to any contract for services between clients and contractors — we facilitate introductions, payments, and record-keeping. The actual work agreement is between client and contractor.

3. Payments & fees

  • Contractor fee: HireSwiftlee retains 5% of each invoice as the contractor-side service fee. The remainder is paid out to the contractor's Wise account.
  • Client markup: HireSwiftlee adds 15% above the contractor's net rate when billing the client (configurable per client by separate written agreement).
  • Placement bonuses (recruiters): when a contractor referred by a recruiter completes their first paid invoice on a campaign, a one-time placement bonus (between US$200 and US$800, depending on role tier) is billed to the client and remitted to the recruiter.
  • Trail commission (recruiters): recruiters receive 15% of HireSwiftlee's net platform fee from every paid invoice of every contractor they referred, for as long as both parties continue to use the platform.
  • Statements: client invoices are aggregated weekly into a single statement. Statements become due on issue; payment via the Stripe-hosted checkout flow.
  • Contractor payouts: HireSwiftlee releases contractor portions only after the corresponding client statement is paid in full.

4. Tax compliance

Each user is responsible for their own tax obligations. HireSwiftlee files the required information returns (e.g., 1099-NEC for US-resident contractors who receive ≥US$600/year) but is not your tax advisor. Non-US contractors must maintain a current W-8BEN on file; without one, US tax law requires withholding 30% of payments to non-US persons.

5. Acceptable use

You will not:

  • Misrepresent your identity, location, qualifications, or affiliation
  • Use the service to launder money, finance illegal activity, or evade sanctions
  • Discriminate against users based on protected characteristics
  • Harass, threaten, or send malicious content to other users
  • Scrape, reverse-engineer, or attempt to extract data beyond your own role's permissions
  • Circumvent platform fees (e.g., by taking communication off-platform to avoid invoicing through HireSwiftlee)
  • Impersonate another user or use multiple accounts to manipulate referrals or reviews

We reserve the right to suspend or terminate accounts that violate these rules, and to withhold payment of any funds connected to violations pending investigation.

6. Intellectual property

You retain ownership of all content you upload (résumés, profile information, work product). By uploading, you grant HireSwiftlee a non-exclusive, worldwide, royalty-free license to host, display, and transmit that content for the purpose of operating the service. The HireSwiftlee name, logo, and the platform itself are owned by HireSwiftlee, LLC.

7. Disputes between users

Disputes about quality of work, scope, deliverables, or payment between client and contractor are between those two parties. HireSwiftlee may, at its discretion, hold disputed funds in escrow while parties attempt to resolve the dispute, but we are not arbitrators. We may refund or reverse charges when evidence clearly indicates non-delivery or fraud.

8. Disclaimers

The service is provided "as is" and "as available." We do not guarantee uninterrupted access, error-free operation, or that the service will meet any particular need. We disclaim all implied warranties to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, HireSwiftlee's total liability arising from or related to these Terms or the service is limited to the greater of (a) the amount of fees HireSwiftlee received from you in the 12 months prior to the claim, or (b) US$100. HireSwiftlee is not liable for indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless HireSwiftlee, its officers, employees, and affiliates from any claim arising out of your breach of these Terms, your violation of law, or your interactions with other users.

11. Termination

You can close your account at any time from your account settings or by emailing us. We can suspend or close your account at any time for cause (violation of these Terms) or with reasonable notice for any other reason. Outstanding obligations (paying owed invoices, etc.) survive termination.

12. Changes to these Terms

We may update these Terms. Material changes will be communicated by email to active users at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law & venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be litigated in the state or federal courts located in San Diego County, California.
